Terms of Use
Terms of Use – Ombrie / Morus Media GmbH · Version: 2025. This is a courtesy translation. The German version is legally binding.
1. Scope
These Terms of Use govern the use of the Ombrie platform and all related services of Morus Media GmbH, Oberstraße 3, 47829 Krefeld, registered in the commercial register of Krefeld under HRB 21221, represented by managing director Tom Walter (hereinafter "Ombrie", "we" or "us").
Use of the platform is intended exclusively for registered clippers. By registering, the user accepts these Terms of Use.
2. Description of services
Ombrie provides a digital platform through which registered clippers can view and work on tasks and publish them via their own TikTok channel. The platform offers in particular:
- Access to project-related tasks from brands
- Provision of raw footage
- Guidelines and individual project rules
- Performance tracking
- Payout based on performance
Ombrie owes no guaranteed income, no minimum number of tasks and no specific availability of the platform.
3. Registration & user account
Use of the platform is permitted for persons aged 13 and over. Users under 18 confirm upon registration that they have the consent of their legal guardians.
The data provided during registration must be complete and correct. Ombrie may suspend or delete accounts if:
- rules are violated
- manipulation occurs
- content violates TikTok guidelines
- the platform is misused
4. How tasks work
Clippers select tasks and create videos from them. These videos are published on the clipper's own TikTok account. After publication, Ombrie reviews compliance with the respective project rules.
Project-specific rules: There are no fixed or uniform task rules. Each project or campaign may contain individual requirements, e.g.:
- Minimum visibility / performance criteria
- Use of specific materials
- Style guidelines or brand guidelines
- Publication within a specific deadline
These rules are clearly displayed in the app or in the task area of the respective project and are binding for the user. A task is only approved after a successful review.
5. Remuneration & payout
Remuneration is variable, based on the number of views achieved or according to the specific project rules. A payout only takes place if:
- all project-specific rules have been met
- the views are organic and not manipulated
- the video has not been deleted or set to private
- the publication complies with applicable platform guidelines
Manipulation (e.g. purchased views) leads to exclusion and the loss of all outstanding claims.
Review and withholding: Ombrie is entitled to withhold payouts for a reasonable period until a manipulation review has been completed (typically up to 30 days), without thereby being in default.
Duty to cooperate: Upon request, the clipper must provide suitable evidence that the reach was generated organically, in particular the complete and unedited TikTok insights for the video concerned. If the clipper does not comply within a reasonable deadline, the payout may be refused.
Indications of manipulation include in particular:
- conspicuous discrepancies between views and interactions (e.g. very low like, comment or completion rates)
- coordinated third-party engagement, such as comment or link networks or so-called 'engagement pods'
- atypical view patterns or traffic sources according to the insights
- other indications of purchased, exchanged or artificially generated reach
Where such indications exist, Ombrie may refuse the payout.
Recovery and set-off: If manipulation is only established after a payout has already been made, Ombrie is entitled to reclaim the amount concerned and to set it off against other claims of the clipper.
6. Grant of rights
6.1 Rights of the clippers: By registering and using the platform, the clipper grants Ombrie and all participating brands unrestricted, worldwide, perpetual, transferable, sublicensable rights of use to all videos created by the clipper and to all content provided by them — including editing, publication, reproduction and advertising rights. These rights take effect upon registration and remain in place even after deletion of the account.
6.2 Rights of the brands: Brands grant Ombrie and all registered clippers unrestricted rights of use to the raw footage they provide.
7. Prohibited actions
Users must not, in particular:
- buy views or engagement
- delete videos before tasks have been reviewed
- manipulate or automate content
- use third-party content without permission
- create multiple accounts for manipulation
- artificially generate reach or engagement, or have third parties do so (e.g. bots, paid services, engagement or comment networks, so-called 'pods')
- violate laws or platform guidelines
Ombrie may immediately suspend user accounts in the event of violations.
Contractual penalty: For each case of culpable manipulation (in particular purchased, exchanged or artificially generated reach), Ombrie may demand an appropriate contractual penalty. Its amount is determined on a case-by-case basis and is based on the payout amount concerned. The assertion of further damages remains unaffected; the clipper reserves the right to prove that no damage or a lesser damage has occurred.
Blocklist: In the event of established manipulation, Ombrie is entitled to store the account, contact and payment data concerned as well as the social media identifiers used in order to prevent renewed registration or payout. Details are set out in the Privacy Policy.
8. Liability
Ombrie is only liable in cases of intent and gross negligence. Liability for lost income, missing tasks, suspensions by TikTok, technical failures or data loss is excluded.
9. Data protection
Information on the processing of personal data can be found in the privacy policy on our website.
10. Term & termination
The user account can be deleted by the user at any time. Ombrie may suspend or terminate users with immediate effect if rules are violated or manipulation is detected.
11. Applicable law
German law applies exclusively. Place of jurisdiction is Krefeld.
12. SMS appointment reminders
SMS appointment reminders are a voluntary extra and are expressly not part of these Terms of Use: consent is not a condition of booking an appointment, of using our services, or of any purchase.
Consent is given solely by ticking a separate, pre-unchecked box on our booking page, with the mobile number entered by the prospect themselves. Without that tick we send no text messages.
Frequency: typically up to five messages per appointment (confirmation, reminders before the appointment, notice if the appointment is cancelled). We do not send promotional messages through this channel.
Cost: message and data rates from your own mobile carrier may apply. We charge nothing on top.
Opt out: reply STOP at any time — messages stop immediately. Help: reply HELP or email info@ombrie.de.

13. Changes to these Terms of Use
Ombrie may amend these Terms of Use at any time. Users will be informed in the app or by email.
